1. Agreement and order of precedence
By accessing Complytecs, you agree to these Terms. If your organization has a signed order form, services agreement, business associate agreement, or other written agreement with Complytecs, that agreement controls to the extent of a conflict.
2. Eligibility and accounts
You must be authorized by the organization for which you use the platform. You are responsible for accurate account information, safeguarding credentials, using only your own account, and promptly reporting suspected unauthorized access. Your organization controls user access and may change or end it.
3. Permitted use
You may use the services only for lawful internal business purposes within the access granted to you. You may not attempt to bypass security, access another customer’s data, disrupt the services, introduce harmful code, use automated means that unreasonably burden the services, reverse engineer protected elements except where law expressly permits it, or use the services to violate another person’s rights.
4. Customer data and responsibilities
As between Complytecs and the customer, the customer retains its rights in information submitted to the platform. The customer grants Complytecs the rights needed to host, process, protect, and support that information in accordance with the applicable agreement. Customers are responsible for the legality, quality, permissions, retention decisions, and authorized use of their data and for configuring user access appropriately.
5. Compliance support—not legal advice
Complytecs is an operational technology platform. It does not provide legal, clinical, reimbursement, or regulatory advice and does not replace professional judgment. Laws, guidance, survey practice, and facility facts can change. Customers remain responsible for their decisions, submissions, deadlines, and compliance obligations.
6. Intellectual property and feedback
Complytecs and its licensors retain all rights in the services, software, designs, documentation, methods, and branding, excluding customer data. If you provide product feedback, you permit us to use it without restriction or payment, provided we do not identify you or disclose customer confidential information in doing so.
7. Confidentiality and privacy
Each party must protect confidential information it receives and use it only for the relationship. Our handling of personal information is described in the Privacy Policy and any applicable customer agreement or business associate agreement.
8. Availability and changes
We may maintain, improve, or modify the services. Features may evolve, and temporary interruptions may occur for maintenance, security, or circumstances outside reasonable control. Any service commitments in a signed customer agreement control over this section.
9. Suspension and termination
We may suspend access when reasonably necessary to address a security threat, unlawful use, material breach, nonpayment under an applicable agreement, or harm to the services or others. Rights to terminate, retrieve data, and receive transition support are governed by the customer’s signed agreement where one exists.
10. Disclaimers and liability
Except for warranties expressly stated in a signed agreement, the services are provided on an “as available” basis to the fullest extent permitted by law. Implied warranties are disclaimed where permitted. Liability limitations, exclusions, and remedies in a signed customer agreement control. Where no signed agreement applies, neither party will be liable for indirect, incidental, special, consequential, or punitive damages to the fullest extent permitted by law.
11. General terms
You may not assign these Terms without our written consent except as part of a permitted corporate transaction. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions continue. Governing law and dispute terms are those stated in the applicable customer agreement; where none exists, applicable law will determine them.
12. Changes and contact
We may update these Terms and will post the revised version with a new effective date. Material changes may receive additional notice. Questions may be submitted through your Complytecs account contact or the channel used to request a demo.
